Welcome to Onroom ("Onroom", "we", "us" or "our"). These Terms of Use ("Terms") govern your access to and use of the Onroom website (https://on-room.com), mobile applications, and any services we provide (collectively, the "Service").
By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Joining the wait‑list does not create an obligation for us to provide access. We may invite users in any order, deny or revoke invitations, or discontinue the wait‑list at any time.
Pricing tiers displayed on the landing page are subject to change. Subscriptions renew automatically each month until cancelled at least 24h before the end of the current period.
Coins are limited‑purpose, non‑transferable digital content. Coins cannot be redeemed for cash by Users unless exchanged by a Verified User through the Stripe Connect Cash‑out feature.
A ChatPass grants the holder entry to one AI‑curated match room. ChatPasses are consumed on entry and are non‑refundable. Users may exchange Coins for ChatPasses at a rate of 100 Coins per ChatPass.
Sending a Gift consumes Coins immediately and is non‑refundable.
Consumers located in the European Economic Area or United Kingdom have a 14‑day right of withdrawal on unused Coins. Once Coins are used to send Gifts or converted to ChatPasses, the right of withdrawal is waived.
We grant you a non‑exclusive, non‑transferable, revocable license to use the Service for personal, non‑commercial purposes.
You agree not to:
The maximum simultaneous human Participants in any Room is defined by the owner's subscription tier or Verified Badge status (e.g., 20 / 200 / 500).
Only Users who maintain an active Verified Badge subscription add-on and complete OnRoom's identity‑verification process ("Verified Users") may redeem Coins for cash.
Verified Users must provide required information (e.g., legal name, address, government photo ID, selfie) and pass identity verification and sanctions screening checks conducted via our payment processor, Stripe. You must accept the Stripe Connect Terms.
Verified Users will receive 80% of Net Revenue from Gifts they receive. Net Revenue equals Gross Coin Value minus third‑party payment processing and app‑store fees (typically around 30%). Payouts are processed by Stripe.
The Service may provide responses generated by multiple AI models (OpenAI, Anthropic, Cohere, Mistral, etc.). AI responses are provided "as is" without warranty of accuracy. You are solely responsible for how you use any content produced by the Service.
All trademarks, logos, and service marks displayed are the property of Onroom or third parties. You may not use them without prior written consent.
We may suspend or terminate your access at any time for breach of these Terms or to protect the Service.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.
To the maximum extent permitted by law, Onroom shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues.
You agree to indemnify and hold Onroom and its officers, employees, and agents harmless from any claim arising out of your use of the Service or violation of these Terms.
These Terms are governed by the laws of the State of New York, USA, without regard to conflict‑of‑laws principles. Any dispute shall be resolved exclusively via binding arbitration under AAA Rules, unless you opt‑out within 30 days of account creation. Disputes not subject to arbitration shall be resolved in the state or federal courts located in New York City, New York.
We may update these Terms from time to time. Material changes will be notified via the Service or e‑mail. Continued use after changes become effective constitutes acceptance.
